1. Definitions

For the purposes of these Terms:

• “Platform” means the Let’s Gen® AI SaaS platform
• “Service” means the functionalities provided through the Platform
• “User” means any individual or entity using the Service
• “Customer” means a User with an active subscription
• “AI Providers” means third-party AI model providers
• “API Keys” means credentials provided by the User
• “Content” means any input and output processed through the Platform

2. Description of the Service

Let’s Gen® AI is a SaaS platform enabling:

• AI-powered content generation
• multilingual workflows
• translation and content management
• brand voice configuration
• structured templates and frameworks
• integration with third-party AI providers

3. Nature of the Service (AI Orchestration)

The Platform operates as an AI orchestration layer.

The Company:

• does not develop AI models
• does not control AI systems
• does not independently generate content

The Service operates under a Bring Your Own AI (BYO AI) model.

All AI outputs are generated by third-party AI Providers selected by the User.

4. Roles and Responsibilities

4.1 Let’s Gen Srl

Responsible for:

• infrastructure and platform operation
• security and access control
• orchestration of AI interactions

4.2 AI Providers

Responsible for:

• AI model functionality
• generation of outputs
• data processing through APIs

4.3 User

Responsible for:

• input data
• use of outputs
• compliance with applicable laws
• API key management
• costs generated

5. Registration and Account

The User:

• must provide accurate information
• must safeguard credentials
• is responsible for all activities under the account

6. Subscriptions, Trial and Licenses

6.1 Plan Structure

The Platform offers annual subscription plans only.

Users may choose between:

• annual upfront payment
• monthly installment payments

The available plans are:

6.2 Free Trial (Evaluation Use)

The Company may offer a 7-day free trial.

During the Trial:

• the Service is provided solely for internal evaluation purposes
• it is not intended for full production or ongoing commercial use

The Company reserves the right to:

• limit functionality
• monitor usage
• suspend access in case of misuse

The Company does not guarantee data retention or continuity during the Trial.

Trial Conversion

By activating the Trial, the User:

• agrees that a subscription will automatically start at the end of the Trial
• accepts any applicable annual commitment associated with the selected plan

The User may cancel before the Trial ends.

6.3 Annual Subscription and Monthly Installments

All subscriptions have a minimum duration of 12 months.

Users may choose between:

a) Annual upfront payment

• full payment in advance
• may include promotional benefits (e.g. free months)

b) Monthly installment payments

• payments split into monthly installments
• mandatory 12-month commitment applies

In all cases:

• the full annual amount remains due

Early Termination

In case of early cancellation:

• access to the Platform may be suspended or terminated
• all remaining payments remain due
• no refunds shall be provided

Personalized Corporate Plans

In addition to the standard plans offered, Let's Go Languages ​​can offer customized corporate solutions, developed specifically for the client's specific needs. These solutions will be governed by a separate agreement, which will define the terms, pricing, and service delivery methods.

6.4 Renewal

Subscriptions automatically renew for an additional 12-month term, unless cancelled at least 7 days before renewal.

6.5 Educational Licenses

Educational licenses:

• are available to university students aged 18 or older
• are valid for 3 months
• do not automatically renew

At the end:

• access is automatically terminated

6.6 Student Offers

Students may receive:

• discounts (e.g. up to 30% on the first year)

Offers are:

• time-limited
• subject to change

6.7 Payments

Payments are processed via third-party providers (e.g. Stripe).

7. Acceptable Use

The User agrees to:

• use the Service lawfully
• comply with the Acceptable Use Policy
• respect third-party rights

8. Intellectual Property

All rights related to the Platform remain the exclusive property of the Company, including:

• software
• prompts
• templates
• frameworks
• orchestration logic

The User shall not:

• reverse engineer
• extract or replicate prompts
• use the Service for AI training
• reproduce system logic

9. Content and Data

The User retains rights over Content, subject to third-party AI Provider terms.

The Company does not use user data to train AI models.

10. AI Providers

The User:

• independently selects AI Providers
• agrees to their terms

AI Providers act as independent entities and are not controlled by the Company.

11. Limitations of Liability

The Company does not guarantee:

• accuracy or reliability of outputs
• uninterrupted service
• suitability for specific purposes

The Company is not liable for:

• use of AI-generated content
• decisions based on outputs
• third-party service failures

12. Service Levels

Service levels are defined in a separate SLA.

13. Privacy and Data Protection

Data processing is governed by:

• Privacy Policy
• Data Processing Agreement (DPA)

14. Security

The Platform implements:

• encryption
• access control
• logging and audit

15. Suspension and Termination

The Company may suspend or terminate access in case of:

• violations of these Terms
• unlawful use
• non-payment

16. Consumer Rights

If the User qualifies as a consumer:

• withdrawal is possible within 14 days

Exception:

• where the Service has already been performed with consent

17. Changes

These Terms may be updated due to:

• legal requirements
• technical evolution

18. Governing Law

These Terms are governed by Italian law.

Jurisdiction: Milan, except where consumer protection laws apply.
